Welcome to Waffle Games (“Company”, “we”, “our”, “us”). These Terms and Conditions govern the sale of goods and manufacturing services provided by us to you (“Client”, “Buyer”). By placing an order, you agree to these terms.

2. Orders & MOQ

Minimum Order Quantity (MOQ):

• Standard Products: Flexible, typically starting at 200 sets.
• Full Customization (OEM): Typically 500 sets, depending on complexity.

Sample Orders: We provide pre-production samples (PPS). Sample fees are refundable upon placing a bulk order meeting the MOQ.

3. Payment Terms

• Currency: Unless otherwise agreed, all prices are quoted in US Dollars (USD).
• Deposit: A 30% non-refundable deposit is required to confirm the order and purchase raw materials. Production begins only after deposit receipt.
• Balance: The remaining 70% balance is due after Production Completion and Quality Inspection (QC), but before shipment loading.
• Methods: We accept T/T (Bank Wire Transfer) and L/C (Letter of Credit) for orders over $50,000.

4. Production & Lead Times

Lead times are estimates and commence from the date the deposit is received AND final artwork proofs are approved.

• Visual Mockup: 24 hours.
• Physical Sample: 7-10 days.
• Mass Production: 25-40 days (subject to order volume and seasonality).

Force Majeure: Waffle Games shall not be liable for delays caused by events beyond our reasonable control, including but not limited to acts of God, war, port congestion, or customs strikes.

5. Shipping & Incoterms

We offer various shipping terms based on your needs:

• FOB (Free on Board) Ningbo: We handle everything up to loading on the vessel in China. You handle sea freight and US customs.
• DDP (Delivered Duty Paid): Our recommended service. We handle sea freight, US customs clearance, duties, and final delivery to your warehouse door.

Shipping Damages: While our ISTA 3A packaging minimizes risk, damages can happen. Claims for shipping damage must be made within 7 days of receipt with photo evidence.

6. Quality & Wood Disclaimer

Natural Material Disclaimer: Wood is a natural product. Variations in grain pattern, knots, and slight color differences are inherent characteristics and are not considered defects.

Color Matching: For painted or printed parts, we strive to match Pantone (PMS) colors within standard industry tolerances.

Quality Standards: Unless otherwise specified, we inspect based on AQL 2.5 (Major) / 4.0 (Minor) standards.

7. Intellectual Property (IP)

We respect your brand.

• Your Designs: Any custom molds, artwork, or logos you provide remain your exclusive property. We will not sell your custom designs to other parties.
• NDA: We are happy to sign a Non-Disclosure Agreement (NDA) prior to project discussion.

8. Governing Law

These terms shall be governed by and construed in accordance with the laws of the People’s Republic of China, where our factory is located. Any disputes shall be resolved through friendly negotiation first.
